Terms of Service

These terms are the agreement between you and Pri's Ventures LLC ("BirthdayPro"), an Illinois limited liability company, when you use our web app, browser extension, mobile apps, or any related service. We've tried to keep them short and human. Please read them — if you don't agree, please don't use the service.

1. Acceptance

By creating an account, clicking "I agree," or simply using BirthdayPro, you agree to be bound by these Terms and by our Privacy Policy. If you're using the service on behalf of a company or another person, you represent that you have the authority to bind them to these Terms.

2. Eligibility

You must be at least 13 years old to use BirthdayPro. If you're between 13 and the age of majority in your jurisdiction, you need a parent or guardian's permission. If you're signing up for a business account, you confirm you have the authority to commit your employer or organization to these Terms.

3. Your account

You're responsible for keeping your login credentials safe and for everything that happens under your account. If you notice unauthorized access, tell us immediately at hello@birthdaypro.io. One human per account, please — don't share logins. You agree to give us accurate information when you sign up and to keep it up to date.

4. Acceptable use

BirthdayPro is built to help you stay close to the people you care about. Please don't use it to:

Send unsolicited bulk messages, spam, marketing pitches, phishing attempts, or any content that would violate CAN-SPAM, the GDPR's e-privacy rules, or similar laws in your country. Auto-send is for personal wishes to people who know you.

Scrape our competitors' contact lists or any third-party service through the integration connectors in ways that violate those services' terms. If Google, LinkedIn, Facebook, Snapchat, or another connected service says "no bulk exports," we say no too.

Harass, threaten, impersonate, or send abusive content to anyone. Reverse engineer, decompile, or attempt to extract our source code. Resell or sublicense access to the service. Interfere with our infrastructure, probe for vulnerabilities without a responsible disclosure, or use the API in ways that degrade the service for others. Upload personal data of people who haven't consented to have their information stored in a third-party tool where applicable law requires their consent.

5. Subscriptions and billing

BirthdayPro offers three plans. The Free plan is free forever with a cap on birthdays and AI messages. The Pro plan is $2 per month, billed monthly in advance, auto-renewing until you cancel. The Lifetime plan is a single payment of $20 that grants access for as long as the service exists, including future updates.

Subscription fees are charged to the payment method you provide at signup. We use Stripe to process payments. You authorize us to charge that payment method on each renewal until you cancel. You can cancel Pro at any time from /settings — cancellation stops future renewals but does not refund the current period. Prices may change; if they do, we'll email you at least 30 days before the new price applies to your renewals.

6. Refunds

Our refund terms vary by plan. See the Refund Policy for the full breakdown. In short: monthly Pro is not prorated, and Lifetime carries a 30-day money-back window.

7. Intellectual property

Your content. Your birthdays, relationship notes, custom templates, and the messages you approve are yours. You grant us a limited, worldwide, royalty-free license to store, process, and display your content solely to operate the service for you. We do not use your content to train public AI models.

Our stuff. BirthdayPro, the app, the code, the brand, the logos, and the design system are ours. We keep all rights that aren't expressly granted to you in these Terms.

8. AI-generated content

The birthday messages our AI drafts are suggestions. They can be wrong, awkward, outdated, or occasionally weird. You are responsible for reviewing any AI-generated message before sending it, and you are solely responsible for the content of any message sent — whether you approve it manually or opt into auto-send. If AI output causes embarrassment, offense, or damage, that's on you, not us. Use good judgment, especially for professional or sensitive relationships.

9. Service availability and changes

We work hard to keep the service up, but we can't promise zero downtime. We may add, change, or remove features over time. If a change materially reduces functionality on a paid plan, we'll let you know and offer a pro-rata refund where required by law.

10. Limitation of liability

To the maximum extent allowed by law, BirthdayPro and its team are not liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, missed birthdays, reminders that failed to send, messages delivered late or not at all, damaged relationships, hurt feelings, lost data, or lost profits — whether caused by outages, bugs, third-party integration failures, AI errors, or anything else. Our total liability for any claim related to the service is capped at the greater of (a) the amount you paid us in the 12 months before the claim, or (b) one hundred US dollars.

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those places, parts of this section may not apply to you.

11. Termination

You can terminate your account anytime from /settings. We can suspend or terminate your access if you materially violate these Terms, abuse the service, or put us at legal risk. In those cases we'll generally try to warn you first and give you a chance to fix the issue, unless an immediate suspension is necessary to protect other users or the service. On termination, your license to use BirthdayPro ends and we will delete your data per the Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you're a consumer in the EU or UK, nothing in this clause overrides your right to bring proceedings in your home courts under mandatory local law.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll email active users at least 14 days before the new version takes effect. Continuing to use the service after that date means you accept the updated Terms. If you don't agree, you can cancel your account and request any applicable refund.
